Reciting:
- Supplemental to trust deed of 26 July 1923 between (i) Dorman Long & Company and (ii) Barclays Bank to secure £3,500,000 5½% first mortgage redeemable debenture stock;
- property in part I of the schedule was vested in (1) in fee simple and in part 2 was vested by lease;
- special resolution of (1) on 17 April 1923 and 2 May 1923 to voluntarily wind up the company;

- creditors of (1) had been paid;
- (3) were entitled to request assignment of all (1)'s assets;
